Unless otherwise agreed in writing, Project 13 Media retains ownership of its pre-existing:

  • Frameworks

  • Processes

  • Systems

  • Workflows

  • Code libraries

  • Design systems

  • Internal tools

  • Know-how

  • Proprietary methodologies

Ownership or licensing of project-specific deliverables will be determined by the applicable client agreement.

Third-party software, platforms, plugins, stock assets, fonts, applications, and other third-party materials remain subject to their respective licenses and terms.

8. Client-Provided Content

Clients retain responsibility for content, trademarks, logos, images, videos, documents, data, and other materials they provide to Project 13 Media.

By providing materials to Project 13 Media for use in a project, you represent that you have the necessary rights or authorization to provide and use those materials.

You authorize Project 13 Media to use those materials as reasonably necessary to perform the agreed services.

9. Third-Party Platforms

Project 13 Media may build, configure, integrate with, or provide services involving third-party platforms.

These may include CRM systems, website platforms, email providers, payment processors, scheduling systems, advertising platforms, AI services, hosting providers, and other technology services.

Third-party platforms are operated independently from Project 13 Media and may change their:

  • Pricing

  • Policies

  • Availability

  • APIs

  • Security requirements

  • Terms of service

Project 13 Media is not responsible for changes, outages, limitations, or decisions made by third-party platforms outside our reasonable control.

10. AI and Automation

11. Business Results

Project 13 Media provides digital, marketing, technology, automation, and business support services.

We do not guarantee a specific:

  • Revenue amount

  • Number of leads

  • Number of customers

  • Conversion rate

  • Advertising result

  • Search ranking

  • Return on investment

  • Business growth rate

  • Profit level

Results depend on many factors outside our control, including the client's industry, offer, pricing, market conditions, competition, sales process, budget, implementation, and other circumstances.

Our goal is to provide professional services and practical systems—not guarantee a particular business outcome.

12. Communications

This provision does not require you to indemnify Project 13 Media for matters caused by Project 13 Media's own unlawful conduct or liability that cannot legally be shifted.

Client service agreements may contain separate termination provisions.

Termination of website access does not automatically terminate any separate contract between Project 13 Media and a client.

Any dispute relating to these Terms or the use of the website will be handled in accordance with applicable Nevada law and any applicable agreement between Project 13 Media and the client.

Your continued use of the website after an updated version becomes available constitutes acceptance of the updated Terms to the extent permitted by applicable law.

For paid services, a separate proposal, statement of work, service agreement, or other written agreement may contain additional or different terms that govern the specific client engagement.


23. Monthly Service Scope

Monthly services include the maintenance, support, optimization, and recurring services specifically identified in the selected service plan.

Monthly service hours are intended for ongoing support and improvements within the agreed scope.

New websites, major redesigns, new funnels, substantial automation builds, custom integrations, migrations, major content projects, advertising spend, third-party software costs, and other work outside the agreed monthly scope may require a separate proposal and additional fees.

Monthly service hours are a capacity limit for the applicable service plan and do not represent guaranteed hours of work or a credit balance. Unused monthly service hours do not roll over unless otherwise agreed in writing.
